1. Acceptance of Terms
By using Safeclip, you agree to these Terms of Service. Safeclip is operated by Safeclip, LLC. If you disagree with any part of these terms, please do not use the Service.
2. Description of Service
Safeclip is a signed-in local desktop application for macOS, Windows, and Linux. It lets you record voice notes, capture meetings, write session notes, and organize information in client spaces. Transcription and AI summarization run entirely on your device using models bundled with the app (including Whisper for transcription). No audio, transcripts, or note content is ever transmitted to our servers.
3. User Accounts
3.1 Account Creation
A free account is required to sign in and use Safeclip on desktop. You must provide a valid email address to register. You may optionally provide a display name and avatar.
3.2 Account Responsibility
You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.
4. Acceptable Use
You agree not to:
- Use the service to record or process content in violation of applicable laws
- Upload or process content that infringes on the intellectual property rights of others
- Use the service for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the service or its infrastructure
- Use automated systems to access the service without permission
- Reverse engineer, decompile, or disassemble the software
5. Content Ownership and License
5.1 Your Content
You retain all ownership rights to the content you record or import. Because all processing happens on your device, your content never leaves your machine and is never accessible to us. We do not store, access, or process your note content.
5.2 Generated Content
Notes, transcripts, summaries, and other content generated by the app on your device are owned by you. You are free to use, modify, and distribute such content as you see fit, subject to any third-party rights in the original source material.
5.3 Third-Party Content
You are responsible for ensuring you have the right to record or process any content you use with Safeclip. We are not responsible for any copyright infringement or other violations that may result from your use of third-party content.
6. Intellectual Property
The Service, including its original content, features, and functionality, is owned by Safeclip, LLC and protected by copyright and trademark laws.
7. Privacy
Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy to understand our practices. In summary: we collect minimal account data, all note processing happens locally on your device, and we never share your data with third parties.
8. Service Availability
Core features of Safeclip, transcription, note writing, and the AI assistant, work offline. License verification and app updates require an internet connection. We strive to keep our authentication and licensing services available, but we do not guarantee uninterrupted access. A 14-day offline grace period is available for license verification.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAFECLIP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING FROM YOUR USE OF THE SERVICE.
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
10. Indemnification
You agree to indemnify and hold harmless Safeclip, LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.
11. Termination
You may delete your account at any time through the application interface. We may terminate or suspend your account immediately, without prior notice, for conduct we believe violates these Terms or is harmful to other users, us, or third parties. Because your note content lives only on your device, termination of your account does not delete your locally stored data, that remains under your control.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on this page and updating the “Last Updated” date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Texas, without regard to its conflict of law provisions.
